TERM AND CONDITIONS

These Terms and Conditions constitute the User Agreement and Terms of Service (hereinafter referred to as “Terms & Conditions”) between Illuvia Games (referred to as “Illuvia Games” or “Site”) and any any person, customer, or entity (referred to as a "User") using the Illuvia Games website and any products, features, and services offered thereon ("Illuvia Games Services") . These Terms & Conditions do not create any partnership or joint venture between Illuvia Games and the User. By registering for an account through Illuvia Games or any associated website, API or mobile application, the User has read and agreed to the Terms & Conditions. The user also agrees to the Illuvia Games Privacy Policy. These Terms & Conditions may be revised and updated from time to time at Illuvia Games' sole discretion.

1. SERVICES

1.1 Illuvia Games Nodes

Illuvia Games Nodes is a system that connects with Illuvia Games to support blockchain games through Illuvia Games.

1.2 Illuvia Games Blockchain

Illuvia Games Blockchain allows each User to store digital items and rewards on the blockchain. Each User owns the NFT for any in-game item on the Blockchain. When the User purchases, earns or receives any NFT or digital reward, the User fully owns the NFT and/or digital reward. For the avoidance of doubt, the User acknowledges and agrees that although the User may own digital rewards or NFTs, the intellectual property rights remain with Illuvia Games.

1.3 Illuvia Games Reward

Each User of any game on Illuvia Games or the Site or any game contained on the Site or linked websites and associated Illuvia Games Nodes may earn or receive Illuvia Games Rewards . Illuvia Games Rewards are digital rewards, which can be tokens and/or any NFT and any other digital rewards that may reside solely in the Illuvia Games Blockchain and may or may not have any value. Illuvia Games cannot and does not control whether any Illuvia Games Rewards, any NFTs and any other digital rewards have monetary value on any other blockchain. Illuvia Games rewards, NFTs, or other digital rewards are not exchangeable for currency.

1.4 Illuvia Games App

Illuvia Games will make available to each User the Illuvia Games App. Illuvia Games will never hold or control any NFTs or digital rewards stored in the User's Illuvia Games App. The Illuvia Games App does not store, send or receive any NFTs or rewards, but such transactions take place directly on the Illuvia Games Blockchain or other supported blockchains. Instead of an Illuvia Games App, Users can install and use any compatible digital applications or e-wallets provided by third party companies that connect securely to Illuvia Games Blockchain. Users can connect to MetaMask, BitKeep, Coin98 wallets. Users will have to pay Gas fees for each transaction that occurs through these wallets when the User can access or use it. Illuvia Games will not be liable for the acts or omissions of MetaMask, BitKeep, Coin98 or any other third party, Illuvia Games will not be liable for any damages you may incur as a result of your transaction or any other interaction with any such third party. Users can use the Illuvia Games App or other compatible wallet to send and receive any NFT or digital rewards with other users of the Illuvia Games Blockchain. Illuvia Games App is not a custodian, exchange or transferor.

2. PAYMENT TERMS

2.1. Software License

The User may be required to enter into a software license agreement with Illuvia Games or any third party for the use of any required software for each Illuvia Games Nodes. The User shall pay all associated software license fees.

2.2. Blockchain Transaction Fees

The delivery and receipt of any of the User’s NFT or digital rewards through the Illuvia Games App may be subject to network or transaction fees charged by the blockchain associated with the User-selected algorithm (“Blockchain Transaction Fees”), which are non-refundable. Any withdrawal or transfer of the User’s NFT or digital reward are subject to Blockchain Transaction Fees.

2.3. Other Third-Party Fees

Certain digital apps, app addresses, tools, and third-party software and devices (“Third-Party Fees”) used by the User may also charge the User a fee, including a per transaction or transfer fee, which are non-refundable. The User is responsible for satisfying any such fee(s). The User should note that any such fees may significantly reduce the User’s rewards and therefore the User is responsible for managing the selection, use, rate and frequency of their receipt of rewards to any such Third-Party Fees.

2.4. Taxes

User is responsible for all taxes and User will pay Illuvia Games without tax relief. If the User is required by law to withhold any taxes from his or her payments to Illuvia Games, the User must provide Illuvia Games with an official tax receipt or other qualifying document to demonstrate the such deduction, including value added tax (“VAT”), if applicable. The User will be responsible for paying (or refunding Illuvia Games) any taxes, interest, fines or penalties that may arise from any false statements made by the User. Users will pay Illuvia Games all taxes and governmental fees that Illuvia Games must collect or pay when selling or delivering Illuvia Games Services.

3. USER OBLIGATIONS

3.1. Software and Equipment Allocation

User is responsible for User's software and device allocation and selected optimization decisions. The user acknowledges that Illuvia Games is not responsible for the selection or timing of blockchain protocols, nor is Illuvia Games responsible for the protocols chosen for use in connection with the Illuvia Games Services. The User is solely responsible for these decisions and will monitor and allocate strategies through the User's Illuvia Games App.

3.2. Log-in Credentials

The User represents and warrants that the User is responsible for the security of the User's login information on the Illuvia Games App and any other login information for the Illuvia Games Service. The login information generated by Illuvia Games for the User is for the internal use of the User only and the User is strictly prohibited from selling, transferring or sublicensing it to any other entity or individual.

3.3. Blockchain Network Risk

The User represents and warrants that the User accepts the risks of the blockchain network and protocol, including instability, congestion, high transaction costs, network latency, information security, regulatory risks technical and operational errors and failures. Users understand these risks may result in delays or failure to process transactions, and blockchain Transaction Fees or Third Party Fees are likely to be high. The representative user agrees that Illuvia Games is not responsible for any Illuvia Games Services, features or related capabilities impaired as a result of blockchain network risks. In the event of a substantial increase or decrease in Blockchain Transaction Fees, Third Party Fees, or deterioration in activity, congestion, failure or other disruption of the blockchain network used by Users, Illuvia Games may, at its sole discretion at its own discretion and, upon notice to the User, make any adjustments to the Illuvia Games Service.

3.4. Blockchain Modification Risk

The User represents and warrants that the User is familiar with and accepts the risks associated with blockchain development and code changes. Blockchain technologies are still under development and may undergo significant changes over time. Such changes may include or result in the removal or support of specific algorithms and applications.

3.5 Compliance with Local Laws and Regulations

Users shall not attempt to purchase any Illuvia Games products restricted by local laws and regulations. Illuvia Games may from time to time geoblock or otherwise restrict access to this site as necessary to ensure compliance with laws and regulations. Illuvia Games is not responsible for any loss as a result of such compliance with local laws and regulations.

3.6 Ownership Restrictions

The User acknowledges and agrees that Illuvia Games owns all rights, title and legitimate interest in all elements of their respective intellectual property rights therein. Visual interfaces, graphics (including, without limitation, all art and related drawings), designs, systems, methods, information, computer code, software, services, “interface”, organization, aggregation of content, code, data and all other elements of any content made available on the Website, Illuvia Games App or Illuvia Games Blockchain are protected by law. copyrights, patents and trademarks, international conventions, intellectual property and other related property rights, and applicable law. When a User purchases or owns Platform Content, the User may own the Platform Assets, but the underlying embedded intellectual property rights may be subject to certain Illuvia Games requirements. 3.7 Children

3.8 Responsibility for Conduct

The User is responsible for all activities that take place in his Illuvia Games App and for his use of the Illuvia Games Service, and the User accepts all risks of any authorized access. or unauthorized access to your Illuvia Games App, to the fullest extent permitted by law. The User represents and warrants that the User is familiar with and accepts the risks associated with the Wallet from the third link. For example, and without limitation, Users are not permitted to: (i) post, upload, distribute or disseminate any illegal, defamatory, harassing, abusive, deceptive, profanity, or other content. obscene or objectionable; (ii) distribute viruses, worms, bugs, corrupted files, hoaxes or any other item of a destructive or deceptive nature; (iii) impersonate another person (through the use of an email address or otherwise); (iv) upload, post, transmit or otherwise make available through the Illuvia Games Service any content that infringes the intellectual property rights of any party; (v) use the Illuvia Games Services to infringe the legal rights (such as privacy and publicity) of others; (vi) engage in, promote or encourage illegal activity (including, without limitation, money laundering); (vii) prevent other users from enjoying the Illuvia Games App or the Illuvia Games Blockchain; (viii) exploit the Illuvia Games Services for any unauthorized commercial purposes; (ix) modify, adapt, translate or reverse engineer any part of the Illuvia Games Services; (x) remove any copyright, trademark or other proprietary rights notices contained in or on the Illuvia Games App or the Illuvia Games Blockchain or any part thereof; (xi) reformat or frame any portion of the Illuvia Games App; (xii) display any content on the Illuvia Games App or the Illuvia Games Blockchain that contains any content related to hatred or violence or contains any other material, products or services that infringe or encourage conduct that violates any criminal law, any other applicable law, or any third party right; (xiii) use any robot, spider, web search/retrieve or other device to retrieve or index any part of the Illuvia Games App or content posted on the Infinity Apps Games or to collect information about users for any unauthorized purpose; (xiv) creating user accounts by automated or fraudulent means; (xv) deceive, defraud or mislead Illuvia Games or Users, in particular in an attempt to obtain sensitive account information; (xvi) attempts to impersonate another User; (xvii) attempts to bypass any of the Site's security measures; (xvii) copy or adapt the Website; or, (xviii) discredit, tarnish or damage in the sole discretion of Illuvia Games, Illuvia Games and/or the Website.

3.9 User Conduct

3.9.1. Users must adhere to the highest standards of personal integrity at all times. Users are required to behave in a professional manner when interacting with other Users, Illuvia Games, members of the admin team, the media, sponsors and fans.

3.9.2. Users may not use obscene, vulgar gestures or mentions of drugs, sex, or violence in the Group Name, in-game chat, or any other mass media. This rule applies to English and all other languages ​​and includes acronyms and/or obscure references.

3.9.3. Users must always compete to the best of their ability. Any form of fraud will not be tolerated. All Users are prohibited from influencing or manipulating the game or match so that the outcome is determined by anything other than its value.

3.10 Anti-Harassment

Illuvia Games is committed to providing a competitive environment that is free of harassment and discrimination. In furtherance of this commitment, Users are prohibited from engaging harassment or discrimination based on race, color, religion, gender, national origin, age, disability, sexual orientation or any other status or characteristic protected by law.

3.11 Disciplinary Action

In order to preserve the integrity of the Game and the Illuvia Games Games' reputation for open and fair game competition, Illuvia Games Games will have the right to monitor compliance with these Rules, investigate possible breaches of the Rules, and impose sanctions for violations. Users agree to cooperate with Illuvia Games Games in any such investigation. If Illuvia Games Games determines that a User has been cheating or has otherwise violated the Rules, the User may be immediately disqualified and removed from the Game. • Issue a warning to the User and publish that warning publicly;

• Terminate all Illuvia Games Games accounts that are held by the User.

Illuvia Games' decision on appropriate disciplinary action will be final and binding. Illuvia Games reserves the right to lock down Eligible Users in question or who have been disqualified or ineligible. The User's failure to cooperate with any internal or external investigation conducted by Illuvia Games is a violation of the Code.

3.12 Representations Made By User

The User acknowledges and agrees that the Illuvia Games Services, including but not limited to Illuvia Games Nodes and Illuvia Games Rewards, are NOT sold as investments by or by Illuvia Games.

3.13 Illuvia Games Representations

Illuvia Games and Users understand that the ONLY purpose of Illuvia Games Nodes is to support the Illuvia Games Ecosystem. Nothing in this Agreement, the expression of this Agreement, or any statements made outside of this Agreement convey to the User any ownership rights in Illuvia Games or its subsidiaries. or other interests in Illuvia Games, as well as any expectation of profit from the efforts of Illuvia Games or its leaders. 3.14 Play to Earn Mechanisms

If the User elects to participate in any play to earn mechanism (including but not limited to any mechanism that allows the User to play any game or use any Illuvia Games Service on App, Website or otherwise), the User will be responsible for paying any and all sales, use, value-added or other taxes, duties and valuations, now or after This is required or imposed by any government agency. User further understands and acknowledges that Illuvia Games is not responsible and User is solely responsible for any and all missed Illuvia Games Rewards. Any and all gameplay mechanics for money are not permanent and may or may not be changed at Illuvia Games' sole discretion at any time.

4. TERMINATION

4.1. General

Illuvia Games may suspend or terminate the User’s right to access or use Illuvia Games Services immediately and without notice if: (i) Illuvia Games determines the User’s use of the Illuvia Games Services poses a security risk to Illuvia Games Services or any third party, could adversely impact Illuvia Games, Illuvia Games Services, Illuvia Games Blockchain or any other Illuvia Games users, or could subject Illuvia Games, its affiliates, or any third party to liability, or could be fraudulent; (ii) the User is in breach of these Terms & Conditions; (iii) the User initiated a chargeback or dispute with respect to any payment or purchase of the Illuvia Games Services; (iv) the User has ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding; or (v) for any other reason at Illuvia Games’s discretion.

4.2. Effect of Suspension

If Illuvia Games suspends the User’s right to access or use any portion or all of the Illuvia Games Services, the User shall remain responsible for all fees and charges the User incurs during the period of suspension, including any Maintenance Fees and Blockchain Transaction Fees; and the User may be in violation of the User’s hosting agreement or the blockchain protocols, which may prevent or limit the User’s entitlement or access to any results or rewards that may have occurred during the User’s suspension of the Illuvia Games Services. User agrees to pay any fee charged by Illuvia Games to reconnect the Illuvia Games Services.

4.3. Effect of Termination

If Illuvia Games terminates the User’s right to access or use any portion or all of the Illuvia Games Services, then all of the User’s rights under these Terms & Conditions immediately terminate and the User shall remain responsible for all fees owed to Illuvia Games incurred through the termination date.

5. PUBLICITY

The User is permitted to state publicly that it is a customer or user of Illuvia Games, consistent with any Trademark Guidelines which may be adopted by Illuvia Games from time to time. The User agrees to abide by the Privacy Policy and Code of Conduct of Illuvia Games.

6. REPRESENTATION AND WARRANTIES

Each party represents and warrants that: (i) it has full power, legal capacity, and authority to enter into these Terms & Conditions; and (ii) it will comply with all laws and regulations applicable to its provision or use of Illuvia Games Services. If User provides any information that is untrue, inaccurate, not current, or incomplete, Illuvia Games has the right to suspend or terminate User’s account and refuse any and all current or future use of the Illuvia Games Services.

7. DISCLOSURES & RISK

7.1 Notification. Illuvia Games informs each User of certain disclosures and risks associated with the NFT blockchain and digital rewards and their associated technology and protocols. The Illuvia Games Service is not an investment product and no act, notice, communication by any means or omission by Illuvia Games shall be construed or construed as such. Illuvia Games does not have any influence over the Illuvia Games Blockchain, transactions and consensus protocols, or NFTs or digital rewards, including Illuvia Games Rewards. 10. INDEMNIFICATION

Unless prohibited by applicable law, the User will defend and indemnify Illuvia Games and its Affiliates against any settlement amounts approved by the User and damages and costs finally awarded against the User and its affiliates by a court of competent jurisdiction in any formal legal proceeding filed by an unaffiliated third party before a court or government tribunal (including any appellate proceeding) to the extent arising from the User’s use of Illuvia Games Services.

11. OTHER

11.1. Assignment

11.3. Entire Agreement

These Terms & Conditions set forth all terms agreed upon between the parties and supersede all other agreements between the parties relating to its subject matter. By entering into these Terms & Conditions, neither party shall rely on and neither party shall have any right or remedy based on any representation, representation or warranty (whether made negligently or unintentionally), except as expressly provided in these Terms & Conditions.

11.4. Force Majeure

Illuvia Games may provide any notice to the User under these Terms & Conditions by: (i) posting a notice on Illuvia Games Site; or (ii) sending a message to the email address associated with the User’s account. Notices provided on Illuvia Games Site will be effective upon posting and notices provided by email will be effective when the email is sent. 11.7. Severability

If any portion of these Terms & Conditions is held to be invalid or unenforceable, the remaining portions will remain in full force and effect.
